Contractors demand commercial certainty and profit, while historic infrastructure rarely offers predictable scopes.

How work is packaged—and who sets the price—depends directly on whether the defect is predictable or systemic, and how aggressively the contractor seeks to optimise its financial margins.

Fixed Price vs. Cost-Plus: A Tale of Two Risk Profiles

The Canal & River Trust (CRT) relies heavily on long-term national framework agreements (such as its major civil engineering contract with Kier). These contracts handle both scheduled maintenance and unplanned emergency call-outs, but the underlying financial mechanisms differ fundamentally depending on the nature of the task.

Crucially, a tier-one contractor's primary fiduciary duty is to its shareholders: maximising dividends by extracting the maximum possible revenue from the customer. The contract model dictates how that profit extraction occurs.

The Contractual Spectrum in Canal Civils

*Fixed Price / Schedule of Rates: Suits low-variability repairs like lock brickwork repointing. The scope is clearly defined, the physical risk sits entirely with the contractor, and margins are kept tight under strict specifications.

*Cost-Plus / Time & Materials: Required for major breaches on unmapped embankments. Ground conditions are unknown, the physical risk sits entirely with CRT, and the financial structure allows contractors to maximise revenue via ongoing time and resource claims.

1. Low-Variability Asset Repairs (Fixed Price / Schedule of Rates)

*Example: Repointing lock chamber brickwork, replacing timber lock gates, or rebuilding a damaged wash wall.


*Mechanism: NEC Options A or B (Activity Schedules / Bill of Quantities) tied to a pre-agreed Schedule of Rates.


*Commercial Dynamic: The physical parameters are fully accessible. An engineer can inspect the lock chamber, measure square metres of brickwork, calculate hydraulic lime mortar volumes, and issue a clear specification.


*Profit Focus: Because the price is capped, the contractor maximises margin by minimising input costs—moving quickly, using cheaper labour, or substituting modern materials (like hard Portland cement instead of lime mortar) unless CRT superintends the job closely.


2. Major Unforeseen Geotechnical Failures (Cost-Plus / Target Cost)

*Example: An embankment piping failure or collapsed culvert where thousands of tonnes of water undermine an unrecorded silt bed.


*Mechanism: NEC Option C (Target Contract with Activity Schedule) or Option E (Cost Reimbursable / Time and Materials).


*Commercial Dynamic: A contractor will not take on an emergency breach under a fixed-price contract without adding a crippling risk premium. The initial phase is purely cost-plus: mobilising plant, installing temporary dams, stabilising ground, and deploying winches.


*Profit Focus: Here, extracting maximum revenue means expanding the scope, keeping heavy plant on-site for extended periods, and applying high percentage markups to sub-contractors and specialised equipment. The longer the diagnostic phase drags on, the greater the billable throughput.


Who in CRT Actually Knows What It Costs?


When a major framework contractor submits a target cost designed to safeguard its own profit margins, who inside CRT has the operational ground-truth knowledge to challenge it?

The Estimating Divide inside CRT

*CRT Quantity Surveyors & Commercial Managers: They rely on desktop NEC cost databases and historical norms, but risk missing the physical site realities of canal work such as constrained access, silt handling, and water control.


*Direct Operations Engineers & Lengthsmen: They possess deep, localised, and empirical asset knowledge, but often lack formal commercial clout in contract negotiations.

The Internal Commercial Assurance Structure

CRT maintains internal engineering and procurement teams responsible for commercial control:

*In-House Quantity Surveyors (QS) & Commercial Managers: Oversee framework compliance, audit contractor cost-ledgers, and evaluate change variations under NEC rules.


*Asset Engineers & Project Managers: Define scope and perform initial scope estimation.


The Capability Gap

Despite these oversight roles, establishing a "fair price" remains challenging due to four structural factors:

*Shareholder vs. Public Good Incentives: Framework contractors deploy specialised claims teams whose sole purpose is to maximise yield via change orders, variation claims, and prolonged preliminaries. Their financial success is measured in shareholder returns, directly opposing CRT’s goal of stretching limited capital.


*Loss of Historical Internal Benchmark Data: Decades of aggressive outsourcing and corporate restructures have eroded CRT's direct, hands-on direct labour force. When a charity stops building its own structures, it loses real-time data on labour hours per unit of work, making it reliant on contractor self-reporting.


*Access & Logistics Premiums: Canal logistics are notoriously difficult. A standard earth-moving job doubles or triples in price if heavy plant must track down narrow towpaths or be boated in on pontoons. Contractors routinely inflate these "preliminaries" costs, and desktop QS models struggle to verify their accuracy.


*Asymmetry of Expertise: Tier-one contractors have vast commercial management resources dedicated to revenue defence. CRT project managers are often stretched across vast geographical regions, forced to manage multiple sites simultaneously without time for granular, daily site auditing.


The Operational Verdict


Outsourcing predictable masonry and lock replacement under fixed frameworks is straightforward, provided quality control stops contractors from cutting corners to save margin. However, managing major geotechnical emergencies under cost-plus models pits CRT directly against commercial entities driven to maximise revenue for shareholders.

Without deep, empirical direct-labour experience on the ground, CRT's commercial oversight risks becoming little more than an exercise in rubber-stamping contractor invoices.
